1. Overview

These Terms of Service ("Terms") govern your access to and use of the websites, applications, tools, and services provided by ColorAnalysis ("ColorAnalysis," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

3. Accounts and Security

  • Credentials: You are responsible for safeguarding your credentials and for all activities under your account.

  • Access: We may refuse service, close accounts, or reclaim usernames as needed to protect the Services or users.

4. Services and License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful, internal purposes. License to Us: You grant ColorAnalysis a worldwide, non-exclusive, royalty-free license to host, store, process, display, and otherwise use User Content to provide and improve the Services and as permitted by these Terms and our Privacy Policy. Responsibility: You are solely responsible for your User Content and the rights needed to grant this license. Feedback: If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

7. AI-Generated or Automated Outputs

Outputs may be inaccurate, incomplete, biased, or unreliable. You are responsible for reviewing outputs and complying with applicable laws before relying on them. The Services do not provide professional advice.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information.

9. Third-Party Services and Links

We do not control and are not responsible for third-party products or services. Your use of them is governed by their terms and policies.

10. Paid Services, Billing, and Trials

  • Fees: You agree to pay fees disclosed at checkout or in an order form. Taxes may apply.
  • Billing: You authorize recurring charges to your payment method where applicable.
  • Trials: Trials may convert to paid plans if not canceled before the trial ends.
  • Price Changes: We may change prices with reasonable prior notice.

11. Cancellation and Refunds

You may cancel at any time via account settings or support. Except where required by law or explicitly stated, fees are non-refundable.

Some components are provided under open-source licenses. If these Terms conflict with open-source licenses, those licenses govern for those components.

14. International Use and Export

You are responsible for compliance with local laws and export controls.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLORANALYSIS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR USD $100 IF NONE.

17. Indemnification

You will indemnify, defend, and hold harmless ColorAnalysis and its affiliates from any claims arising out of (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or law; or (d) your infringement of third-party rights.

18. Termination and Suspension

We may suspend or terminate your access at any time if we believe you violated these Terms or pose a risk. Upon termination, your license ends. Provisions that by nature survive termination will survive.

19. Changes to the Services and to These Terms

We may modify the Services and these Terms. Material changes will be notified via the Services or email. Continued use after changes constitutes acceptance.

20. Communications; Electronic Notices

You consent to receive electronic communications from us, which satisfy legal requirements for written communications.

21. Governing Law and Venue

These Terms are governed by the laws of the United States, without regard to conflict of laws principles. Venue and jurisdiction will be determined as required by applicable U.S. law.

22. Consumer and Local Laws

Nothing in these Terms limits non-waivable statutory consumer rights. Mandatory protections apply to the extent required by law.

23. Beta Features; Previews

Alpha, beta, or preview features may be incomplete, change without notice, or be discontinued. They are provided "as is" and may be subject to additional terms.

24. App Store Terms (If Applicable)

If you access via an app store, your use must comply with the store's terms. The store provider is not responsible for maintenance or support.

25. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

26. Assignment

You may not assign these Terms without our written consent. We may assign without restriction.

27. Entire Agreement; Severability; Waiver

These Terms, together with referenced policies (including the Privacy Policy), constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
